AMENDMENT III TO BYLAWS OF
HONEY CREEK HOMEOWNERS’ ASSOCIATION
The Board of directors of the Honey Creek Ridge Homeowners’ Association
(“Board of Directors”) hereby amends the bylaws of the Honey Creek Ridge
Homeowners’ Association by amending Article IV (1) of the Bylaws to make the term of
Directors three years, as set forth below, and increase the total to Nine (9) members to
become effective thirty (30) days after Adoption by the Board of Directors. This
Amendment to the Bylaws replaces Amendment 2 Dated October 22, 2002 has been
made in accordance with Article XI of the original Bylaws of the Association and Section
2.6 of the Declaration of Covenants, Conditions, Restrictions and Easements for Honey
Creek Ridge.
As amended, Article IV (1) provides as follows:
ARTICLE IV
Board of Directors
(1) Number and Powers: The management of all the affairs,
property and interest of the Association shall be invested in a Board of
Directors, consisting of nine (9) persons each serving for a period of three
(3) years. Three (3) persons shall be elected at the Annual meeting each
year and hold office until their successors are elected and qualified. Three
(3) Directors elected in 2005 shall agree to serve until the 2008 Annual
meeting. Three (3) Directors now serving shall serve until the 2007
Annual meeting. Directors shall be members of the Association. In
addition to the powers and authorities by these Bylaws and the Articles of
Incorporation expressly conferred upon it, the Board of Directors may
exercise, in good faith, all such powers of the Association and with such
care, including reasonable inquiry, as an ordinary prudent person in like
position would use under similar circumstances, and do all such lawful
acts as are not by statute or by the Articles of Incorporation or by these
Bylaws directed or required to be exercised or done by the members.
This Amendment was adopted by the Board of directors on November 7, 2006.
All other original and amended Bylaws of the association are hereby affirmed.
